What is a Confirmation Statement?

Every Limited Company that is registered with Companies House, including dormant companies and non trading companies must file a confirmation statement at least once a year with Companies House.

You have to confirm that the basic information of the company is correct and up to date including the registered office address, registers, officers, business description (SIC), share capital and shareholders.

You must file a confirmation statement even if there have not been any changes to your company during the review period, hence just confirming that all the information has remained the same as the previous year. You will also need to state that the intended future activities of the company are lawful.

The confirmation statement (also could be known as an annual return) must be filed within 14 days of your review period, for example you incorporate your company 01.01.2024, your review period ends 31.12.2024 so its must be filed within 14 from this date.
